Terms of Service

1. Acceptance

These Terms of Service (the "Terms") govern your use of Sovyr (sovyr.io and any related apps, collectively the "Service"), provided by Sovyr, Inc. ("Sovyr", "we", "us"). By creating an account or otherwise using the Service, you agree to these Terms. If you don't agree, don't use the Service.

2. Eligibility

You must be at least 13 years old to use Sovyr. If you're using Sovyr on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Your account and content

You're responsible for keeping your account credentials secure and for the activity that happens under your account. Content you create or upload to Sovyr (chat messages, documents, vault files, connector data) remains yours; we store it so you can access it.

You grant Sovyr a non-exclusive, worldwide license to process your content for the limited purpose of operating, securing, and improving the Service for you. We don't use your content to train generalized AI/ML models. See our Privacy Policy for the full picture.

4. Acceptable use

You agree not to:

  • Use the Service for anything illegal or for content that violates third-party rights (including IP and privacy rights).
  • Attempt to send spam, phishing, harassment, or malware-laden email through Sovyr's Gmail integration.
  • Probe, scan, or otherwise attempt to compromise the Service or other users' data.
  • Reverse-engineer the Service or its proprietary APIs, except to the extent permitted by applicable law.
  • Use the Service to build a competing product or model trained on Sovyr's outputs.

We may suspend or terminate accounts for material violations.

5. Third-party services

Sovyr connects to third-party services at your direction (Gmail, etc.). When you connect a service, you authorize Sovyr to act on your behalf within the scope you grant. Your relationship with the third-party service is also governed by their terms; we're not responsible for their availability or behavior. You can revoke a connection at any time.

6. AI-generated output

Sovyr uses large language models to produce summaries, drafts, and other text on your behalf. Output may be inaccurate, incomplete, or unsuitable for high-stakes decisions. You are responsible for reviewing AI-generated output before relying on it, forwarding it, or sending it as email. Sovyr surfaces an explicit approval step before any send action so you can verify the message before it goes out.

7. Pricing and changes

Pricing, features, and limits may change as Sovyr evolves. We'll give reasonable notice of material changes that affect paid users. Sovyr is currently in early access — if your account is free-tier, expect features to change frequently.

8. Termination

You can stop using the Service and delete your account at any time (Settings → Delete account). We may suspend or terminate accounts that violate these Terms, that use the Service in ways that harm other users, or that we determine pose a security risk. On termination, we'll delete your stored content per the schedule in our Privacy Policy.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. SOVYR DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THE SERVICE WILL BE UNINTERRUPTED, ERROR- FREE, OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOVYR'S AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID SOVYR IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) US$100. SOVYR IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.

11. Governing law

These Terms are governed by the laws of the State of New York, USA, without regard to conflict-of-laws principles. Disputes will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts.

12. Changes to these Terms

We may update these Terms when our practices or the law change. The "Effective" date at the top reflects the latest revision. For material changes, we'll notify users by email or in-app before the change takes effect. Continued use of the Service after the effective date constitutes acceptance.
